General Partner (GP)

A general partner is the managing partner in a partnership structure — responsible for day-to-day operations, with full personal liability for partnership obligations (unless shielded via an LLC).

What it means

In traditional partnership terminology, the general partner runs the business and is personally liable for partnership debts. In CRE, the GP is almost always structured as an LLC to limit liability while preserving the managerial role.

"GP" in syndication usage has come to mean the sponsor — the party running the deal — even when the legal entity is an LLC rather than a limited partnership.
